Terms of Service & User Agreement

This Terms of Service & User Agreement (“Agreement”) governs your access to and use of LimaxLock Mobile Device Management (MDM) and related services, websites, and applications (collectively, the “Services”), provided by Mobilinear Systems Private Limited (“LimaxLock”, “we”, “our”, or “us”), its subsidiaries, and affiliates.

1. Introduction & Acceptance

By registering for, accessing, or using the Services, you (“User”, “you”, or “your”) agree to be bound by this Agreement and our Privacy Policy.

If you do not agree, you must not access or use the Services.

Minors must review this Agreement with a parent or legal guardian, who accepts responsibility for their use of the Services.

2. Definitions

• Account – A registered user profile required to access the Services.
• User Content – Any data, files, text, images, or information uploaded, transmitted, or stored by you via the Services.
• Cooperators/Third Parties – Service providers, partners, or vendors supporting our operations.

3. Eligibility

You must be at least 18 years old or have legal parental/guardian consent to use the Services. By creating an Account, you confirm you are legally capable of entering into this Agreement.

4. Account Registration & Security

• You agree to provide accurate, complete, and current information during registration and to keep it updated.
• You are solely responsible for maintaining the confidentiality of your login credentials and for all activities under your Account.
• You must notify us immediately of any unauthorized use of your Account.
• Accounts may not be transferred, licensed, or sold.

5. Acceptable Use Policy

You agree not to:

• Use the Services for unlawful, harmful, abusive, or fraudulent purposes.
• Upload or distribute viruses, malware, or harmful code.
• Attempt to gain unauthorized access to the Services, data, or networks.
• Reverse engineer, copy, or resell the Services.
• Post or transmit content that is defamatory, obscene, infringing, or violates applicable law.

Violation may result in suspension or termination of your Account without notice.

6. Payment & Subscription Terms

• Some Services are offered on a subscription basis. Fees, billing cycles, and applicable taxes will be disclosed at purchase.
• Subscriptions do not renew automatically. You are responsible for renewing your plan before it expires to keep uninterrupted access to the Services.
• You authorize us (or our payment processors) to charge your selected payment method.
• Failed or disputed payments may result in suspension or termination of your Account.

7. Privacy & Data Protection

Your use of the Services is subject to our Privacy Policy.

By using the Services, you consent to the collection, processing, and storage of your data in accordance with applicable laws, including the Indian IT Act and, where applicable, GDPR.

8. User Content & License

• You retain ownership of your User Content.
• By using the Services, you grant LimaxLock a limited, non-exclusive, worldwide, royalty-free license to host, process, and use your User Content solely for providing and improving the Services.
• We do not claim ownership of your User Content and will not use it for marketing without your consent.
• You are solely responsible for your User Content and any consequences of sharing or storing it.

9. Intellectual Property

• All software, technology, trademarks, and content provided by LimaxLock remain the exclusive property of Mobilinear Systems Private Limited.
• You may not copy, distribute, modify, reverse engineer, or create derivative works without our prior written consent.
• If you believe your intellectual property has been infringed, please contact us at info@limaxlock.com with supporting documentation.

10. Third-Party Services

• Our Services may rely on or include third-party software, APIs, or integrations. Their use is subject to the terms of the respective providers.
• LimaxLock is not responsible for third-party content, products, or services accessed through our platform.

11. Refund & Return Policy

• 14-Day Money-Back Guarantee applies to initial purchases of LimaxLock MDM.
• Refund requests must be made within 14 days of purchase by contacting support@limaxlock.com.
• Refunds will be processed within 10 business days after approval.
• Refunds are not available if: you violate this Agreement, or you purchased enterprise/custom plans after onboarding.
• As LimaxLock is a digital service, no physical returns apply.

12. Limitation of Liability

• To the maximum extent permitted by law, LimaxLock shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
• We provide the Services “as is” without warranties of any kind, express or implied.

13. Indemnity

You agree to indemnify and hold harmless Mobilinear Systems Private Limited, its officers, employees, and partners from any claims, damages, losses, or expenses arising from your use of the Services, violation of this Agreement, or infringement of third-party rights.

14. Termination

• You may terminate your Account at any time by following in-app instructions.
• We may suspend or terminate your Account without notice if you violate this Agreement, fail to pay fees, or engage in misuse.
• Upon termination, your access to the Services will end, and we may delete your data in accordance with our retention policy.

15. Governing Law & Dispute Resolution

• This Agreement is governed by the laws of India, with exclusive jurisdiction of the courts in Pune, Maharashtra, India.
• Disputes shall first be attempted to be resolved amicably. If unresolved, they shall be submitted to binding arbitration in Pune, in accordance with the Arbitration and Conciliation Act, 1996.

16. Force Majeure

We are not liable for failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, internet outages, strikes, government actions, or acts of third parties.

17. Miscellaneous

• Severability – If any provision is held invalid, the remaining terms remain enforceable.
• Entire Agreement – This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and LimaxLock.
• No Waiver – Failure to enforce any provision does not waive our right to enforce it later.
• Assignment – You may not transfer this Agreement without our written consent.
